Final Tally in for Ethan Allen Proxy Fight

The final tally is in from the Ethan Allen proxy battle and it shows that four of the company’s seven existing directors secured about 59 percent of the shareholder vote. One of Sandell Asset Management’s six nominees took about 39 percent of the votes.
In a filing with the Securities and Exchange Commission, Ethan Allen reported all seven directors were reelected and reported board member John Dooner Jr. received the most shareholder votes.
Farooq Kathwari, chairman, president and CEO, received 15,832,466 votes in his favor.
Ken Pilot, former president of ABC Carpet & Home and one of Sandell’s six nominees, received more than 10 million votes.
In a statement release Tuesday afternoon, Sandell said it would continue to “maintain general contact with other interested shareholders and members of the broader investment community as part of its vigilant oversight of matters concerning the company.”
