La-Z-Boy Restructures Board

By Home Furnishings Business in Executive Changes on May 10, 2011

La-Z-Boy Inc. (NYSE: LZB) has restructured its board of directors.

The board amended its bylaws to eliminate the company's classified board structure and to provide instead for annual elections of all directors to one-year terms. The change will be phased in with the election held at the annual shareholders' meeting Aug. 24.

Following the meeting, the board plans to make the following additional changes:

  • Acknowledge James Johnston's retirement from his position as chairman of the board;
  • Appoint Kurt Darrow, currently president and chief executive officer, to the additional position of chairman of the board; and
  • Appoint Richard Gabrys as lead director of the 10-member board.

Johnston has served as a director of La-Z-Boy since 1991 and was named chairman of the board in 2006. Prior to his election as chairman, he served as chair of the board's nominating and governance committee.

Darrow has been a director since 2003 when he was named president and CEO. He joined La-Z-Boy in 1979 and served in various positions of increasing responsibility, including president of La-Z-Boy Residential, the company's largest division, before he was named president and CEO.

"At both the board and management levels, succession planning plays an integral role in our strategy to move our company forward in a very dynamic marketplace," Darrow said. "Ensuring our company has the appropriate leadership structure at any given time is paramount in importance. The board has deemed combining the chairman and CEO positions into one as most appropriate at this juncture, and I look forward to taking on the additional responsibilities of chairman while working with our new lead director and our other experienced and accomplished board members."

Addressing Johnston's scheduled retirement, Darrow said, "Jim has been an invaluable asset to La-Z-Boy for 20 years, providing sage counsel to our company as we navigated our way through an industry that underwent a sea change, and it is with mixed emotions that we announce his upcoming retirement. His insight, advice and guidance helped to position La-Z-Boy where we are today. With a lean cost structure, the strongest brand in the industry and a vast network of branded distribution outlets, we are poised for profitable growth. We are grateful to Jim for the role he has played in establishing a strong platform for our company in this environment. He will be missed by his many colleagues at La-Z-Boy, and we wish him all the best in his retirement."

The company also announced it will appoint Richard M. Gabrys as lead director. Gabrys has served on La-Z-Boy's board since 2006, is former chair and a current member of the compensation committee and is also a member of the audit committee. Gabrys also sits on the boards of CMS Energy Corp., Massey Energy Co. and TriMas Corp. and was previously vice chairman of Deloitte & Touche LLP.

"Dick has made a great contribution to our board and company over the years," Darrow said. "He has a wealth of financial expertise and international experience that has served us well. Establishing a lead director role on the board reinforces our ongoing commitment to ensure that corporate governance remains a top priority for our corporation."

Since going public in 1972, the company's board of directors has been comprised of three classes, with members of each class elected for staggered three-year terms. In keeping with its commitment to maintain best practices with respect to corporate governance standards, the company has opted to declassify its board and to provide instead for annual elections of all directors for one-year terms. This change will be phased in to permit incumbent directors to serve out the remainders of the terms for which they were previously elected.

Shareholders will elect about one-third of the total board at the 2011 annual meeting, about two-thirds at the 2012 annual meeting and the entire board at the 2013 and subsequent annual meetings, all for one-year terms. The three individuals nominated for election as directors of the company at this year's annual meeting are: Kurt Darrow; George Levy; and Alan McCollough.

"La-Z-Boy prides itself on being a transparent company with accountability to all our shareholders," Darrow said. "We believe the moves we are making are consistent with our corporate philosophy and commitment to all stakeholders."

James A. "Jay" McMahan, former president of McMahan's Furniture and director of Williams-Sonoma, died May 3 at age 88.

McMahan was born in Bakersfield, Calif., the same day that his father, James I. McMahan, one of the founding members of the National Home Furnishings Association, opened the first McMahan's Furniture Store in a company owned building. The company, which had opened its first location in 1919 in a leased building in Bakersfield, grew to be a Top 25 furniture retailer and one of the largest independent furniture retailers in the country.

Jay McMahan joined the company in 1942 at the age of 19. After his father's death in 1951, he took over as president of McMahan's Furniture, helping to grow it into a 50 store chain throughout the western United States. Then in 1978, he and a partner, Howard Lester, bought a controlling interest in a cook store called Williams-Sonoma and took it public in 1983. McMahan was a director of Williams-Sonoma from 1979-2003 and a Director Emeritus since 2003.

Lifestyles Furniture Relos to Davenport

By Home Furnishings Business in Store Openings on May 10, 2011

Furniture retailer LifeStyles Furniture of Moline, Ill., will expand and relocate to a new 12,000-square-foot retail store in Davenport, Iowa, this summer.

The tentative move-in date is scheduled for July 1. LifeStyles opened in 1991 in Moline and had a second smaller location in Davenport for a brief time. In 2006, new ownership bought the retail establishment and changed the focus to entirely contemporary and high-end Scandinavian lines. In addition, they expanded the existing online business. LifeStylesFurniture.com, along with another company owned by the same group, PlatformBeds.com, are national sellers of furniture online, shipping furniture across the country.

"Up until now, we've had furniture in our warehouse that we've sold through the Web site that we didn't even have room to display on our showroom floor," said Brian Banks, president of Triunity Interests, the parent company of the retail stores. "We'll now have two floors of fine furniture available to our local clients. They'll now have choices of furniture that they probably have never seen before unless they've been to our website. We will be expanding our in-store selection in all of the lines we carry and are currently negotiating with other manufacturers to add their brands after we move in."

The relocation to Davenport's Walnut Center also means a facelift for the facility.

"We're returning to the look of the original Walnut Center with the exposed beams and high ceilings," Banks said. "It will be reminiscent of the Chalet facility back when it occupied the space, but with some contemporary additions."

LifeStyles carries a wide assortment of leather and fabric sofas and chairs, dining room tables and chairs, bedroom sets, art and accessories.
